Welcome to Vendition (“the Platform”). By using the Platform, you and the entity seeking to hire individuals (“Employer”) you may represent agree to be bound by these Terms which governs access to and use of the Platform and your interaction with others on the platform including individuals seeking employment on the Platform (“Job Seekers”).

USER ACCOUNTS
1. To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account and password.
2. If you, as an employee or representative of an Employer, access or use the Platform, or create a Vendition account on behalf of the Employer, you affirm that you possess the authority to legally bind the Employer to this Agreement. In the case of creating an account for the Employer, it is understood that the account is owned by the Employer, and you recognize that any information you furnish to Vendition through the account, including your activities and their timing, will be accessible to the Employer.
PLATFORM SERVICES
1. Job Seekers can express interest in Employers through the Platform, and applications will be sent to the provided email address. The Platform may provide candidate management tools, allowing actions like scheduling interviews and viewing resumes. If you use these tools, the Platform may compile application materials but is not responsible for storing them. Employers are responsible for compliance with record retention laws. Candidate Summaries may be provided, but employers are urged to review full applications and not solely rely on summaries for hiring decisions. Any verification of a Job Seeker’s skills or qualifications on the Platform is not guaranteed by Vendition, and employers are responsible for verifying such information.
2. The Platform offers services and features that allow Employers to create information viewable by others on the Platform including but not limited to job requisitions, information about Employer, and communication with Job Seekers. You and Employer agree that any information you create or provide will apply with all applicable laws.
3. The Platform offers services and features that allow Employers to source candidates. You and Employer agree that any information you provide will apply with all applicable laws including anti-discrimination laws.
4. The Platform connects corporate users with job seekers based on specified criteria. We do not guarantee the availability of suitable matches or the success of any hiring process.
5. We may, at our discretion, modify, suspend, or discontinue any part of the Platform or your access to the Platform without prior notice and without liability.
USER CONTENT
1. You are solely responsible for the content you submit or display on the Platform (“User Content”). You retain ownership of your User Content.
2. By providing User Content on the Platform you grant Vendition and the platform, its affiliates, and sublicensees with a license to utilize your name, user name, trademarks, and logos in association with (i) any User Content, (ii) Vendition marketing materials that include or feature such User Content, or (iii) any efforts by Vendition to promote or publicize the User Content, such as utilizing keywords in third-party internet search engines. If the User Content includes your name, likeness, voice, or image, you permanently waive all legal and equitable rights related to claims for the infringement of your rights of publicity (or similar claims) arising directly or indirectly from Vendition’s exercise of its rights under the granted license.
PLATFORM RULES
1. In addition you and Employer agree to the following rules for using the Platform
  1. Do not access the Site through means other than the officially provided web or app interface by Indeed, or attempt to access systems without explicit authorization.
  2. Avoid providing false, fake, or fictitious information.
  3. Do not submit any code or data with the intention or impact of causing damage, disruption, disability, harm, impairment, interference, interception, expropriation, or any form of hindrance to the Site or its data, programs, systems, equipment, or communication, or that would result in a violation of any applicable law.
  4. Do not access any data, particularly personal data, without proper permission.
  5. Refrain from bypassing any limitations or suspensions of functionality.
  6. Do not interfere with the use of the Platform by others.
  7. Do not modify, adapt, translate, reformat, resell, frame, or reverse engineer any part of the Platform.
  8. Do not remove any copyright, trademark, or other proprietary rights notices.
FEES AND PAYMENT
1. Certain features of the Platform may require payment of fees. You agree to pay all fees associated with your use of the Platform.
2. All fees are non-refundable unless otherwise expressly stated
PRIVACY
1. Our Privacy Policy governs the collection, use, and disclosure of your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.
DISCLAIMERS AND LIMITATION OF LIABILITY
1. The Platform is provided “as is” and “as available” without any warranties, express or implied.
2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
INDEMNIFICATION
1. You agree to indemnify and hold us harmless from any claims, demands, liabilities, damages, or expenses arising out of your use of the Platform or violation of these Terms.
GOVERNING LAW
1. These Terms are governed by and construed in accordance with the laws of the State of California.
